- Late payment: Overdue amounts may attract interest at a rate agreed at contract stage, or at the prevailing commercial bank lending rate published by the Central Bank of Nigeria, whichever is specified in the supply agreement.
- Currency: Transactions are denominated in Nigerian Naira (NGN) unless an alternative currency is expressly agreed in writing for a specific engagement.
- Price variation: Petroleum product prices are subject to market fluctuation. Quoted prices are valid only for the period specified in the quotation and may change prior to execution if market conditions shift materially.
Disputes regarding invoices must be raised in writing within seven (7) calendar days of receipt. Undisputed portions of invoices remain payable within the original payment period.

Upon termination of a commercial engagement, accrued payment obligations remain enforceable. Clauses of these Terms that by their nature survive termination — including intellectual property, limitation of liability, and governing law — shall continue in full force.
You may discontinue use of our website at any time. Terminating website use does not affect any outstanding commercial obligations under a separately agreed supply contract.
Governing Law
These Terms and any dispute or claim arising from or in connection with them — whether contractual, tortious, or otherwise — shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.
The parties submit to the exclusive jurisdiction of the courts of Lagos State, Nigeria, for the resolution of any dispute arising under these Terms, without prejudice to the right of either party to seek injunctive relief in any competent court.
Where a dispute arises from a commercial supply engagement, the parties agree first to attempt resolution through good-faith negotiation. If negotiation fails within thirty (30) days, either party may refer the dispute to the Lagos Court of Arbitration or such other arbitral body as may be agreed in writing.
If you are engaging with Gestion Energy from outside Nigeria, you agree that Nigerian law governs the relationship and that you submit to Nigerian jurisdiction for any dispute.
