These Terms constitute a legally binding agreement between you (or the organisation you represent) and Gestion Energy. By accessing our website, submitting an enquiry, or entering into a commercial engagement with us, you confirm that you have read, understood, and agree to be bound by these Terms.

These Terms apply to all visitors, enquirers, registered clients, and commercial partners. Where a separate signed supply agreement or commercial contract exists between you and Gestion Energy, that agreement shall govern the specific transaction, and these Terms shall apply to all matters not addressed therein.

By using our website or engaging with our services, you represent that:

• You are at least 18 years of age and have the legal capacity to enter into binding agreements.
• Where you act on behalf of an organisation, you have the authority to bind that organisation to these Terms.
• You are engaging for legitimate commercial purposes consistent with the nature of our fuel supply and energy logistics services.
• You have reviewed and accept our Privacy Policy, which is incorporated into these Terms by reference.

If you do not accept these Terms, you must discontinue use of our website and services immediately.

Gestion Energy provides commercial petroleum product supply, logistics coordination, and energy fulfilment services to businesses and institutions operating in Nigeria and the West African sub-region. Our core services include:

• AGO (Diesel) supply: Bulk and semi-bulk supply of automotive gas oil for industrial generators, construction equipment, marine vessels, and commercial transport operations.
• LPG supply: Bulk liquefied petroleum gas supply for industrial, institutional, and commercial energy applications.
• Logistics coordination: Fulfilment planning, delivery scheduling, loading supervision, and transport execution.
• Supply continuity support: Ongoing supply relationship management for clients with regular, volume-predictable energy requirements.

This website serves as an information platform and initial commercial engagement channel. Final supply terms — including pricing, delivery schedules, volumes, and payment conditions — are established through direct commercial negotiation and confirmed in writing prior to execution.

When using our website or engaging with our services, you agree to:

• Provide accurate, complete, and current information in all enquiry forms, supply requests, and correspondence with our team.
• Notify us promptly of any change in your organisation’s details, operational requirements, or delivery site information that may affect fulfilment.
• Use our website and services only for lawful commercial purposes and in compliance with all applicable Nigerian laws and regulations.
• Not attempt to interfere with, disrupt, or gain unauthorised access to our website infrastructure, databases, or administrative systems.
• Not engage in any activity that would constitute fraud, misrepresentation, or a breach of applicable anti-corruption or anti-money laundering regulations.
• Maintain appropriate health, safety, and environmental standards at delivery sites and ensure access, offloading facilities, and safety compliance required for the safe reception of petroleum products.

Our website does not currently offer public user account registration. Certain internal administrative functions are accessible only to authorised Gestion Energy personnel through secure, credential-protected interfaces.

If you are an authorised Gestion Energy employee or administrator with access to internal systems:

• You are responsible for maintaining the confidentiality of your access credentials and must not share them with any other individual.
• You must report suspected unauthorised access or credential compromise to your system administrator immediately.
• You must use administrative access only for purposes authorised by Gestion Energy and in accordance with the role assigned to your account.

Gestion Energy reserves the right to suspend or terminate access for any user who violates these conditions or who is found to have engaged in unauthorised activities.

Payment terms for commercial fuel supply engagements are established at the point of contract. Unless otherwise agreed in writing:

• Payment method: Payments are processed via direct bank transfer to designated Gestion Energy accounts. No payment card information is collected or processed through this website.
• Invoice settlement: Invoices are payable within the period specified on the invoice. Standard terms are payment in advance or on delivery unless a credit arrangement has been separately agreed and documented.
• Late payment: Overdue amounts may attract interest at a rate agreed at contract stage, or at the prevailing commercial bank lending rate published by the Central Bank of Nigeria, whichever is specified in the supply agreement.
• Currency: Transactions are denominated in Nigerian Naira (NGN) unless an alternative currency is expressly agreed in writing for a specific engagement.
• Price variation: Petroleum product prices are subject to market fluctuation. Quoted prices are valid only for the period specified in the quotation and may change prior to execution if market conditions shift materially.

Disputes regarding invoices must be raised in writing within seven (7) calendar days of receipt. Undisputed portions of invoices remain payable within the original payment period.

All content on this website — including but not limited to text, graphics, logos, service descriptions, operational methodology documentation, and structural layout — is the exclusive intellectual property of Gestion Energy or its licensed content providers.

You may access and view website content for the purpose of evaluating or engaging with our services. You may not:

• Copy, reproduce, distribute, or publish website content without prior written permission from Gestion Energy.
• Use our company name, logo, or service marks in any manner that implies endorsement, partnership, or affiliation without authorisation.
• Modify, reverse-engineer, or create derivative works based on our website code or content.

• Using our commercial platform to facilitate transactions involving prohibited substances, sanctioned entities, or activities prohibited under Nigerian law.

• Engaging in any form of commercial espionage, including using our services to gather information about Gestion Energy’s operations, clients, or suppliers for the benefit of a competing entity.

Violations may result in immediate suspension of access, termination of commercial relationships, and referral to appropriate law enforcement or regulatory authorities.

To the maximum extent permitted by applicable Nigerian law, Gestion Energy’s liability arising from or in connection with these Terms, our website, or our services shall be limited as follows:

• Our total liability to you for any claim shall not exceed the amount paid by you to Gestion Energy in the three (3) months immediately preceding the event giving rise to the claim, or where no payment has been made, NGN 500,000.
• We shall not be liable for any indirect, consequential, special, exemplary, or incidental loss, including but not limited to loss of profit, revenue, business, contracts, anticipated savings, goodwill, or data.
• We shall not be liable for losses arising from force majeure events, including supply disruptions due to government regulatory action, depot access restrictions, logistics network disruption, natural events, or any circumstance beyond our reasonable control.
• We shall not be liable for the accuracy, completeness, or fitness for purpose of information on our website, which is provided for general information only and does not constitute commercial, financial, or legal advice.

Our website and services are provided on an “as available” basis. We make no warranties, express or implied, including:

• Availability: That our website will be continuously available, error-free, or free of interruption. Scheduled and unscheduled maintenance may temporarily affect access.
• Supply guarantee: That petroleum products will be available in any particular volume, grade, or within any specified timeframe. Market conditions, regulatory constraints, and logistics factors may affect supply.
• Pricing accuracy: That prices indicated in any general content are current or binding. All pricing is subject to written quotation and confirmation prior to execution.
• Third-party links: That content or services provided by third-party websites linked from our platform meet any standard of quality, accuracy, or safety. We do not endorse or assume responsibility for third-party content.

Gestion Energy reserves the right to suspend or terminate access to our website, commercial platform, or current supply engagements at its discretion, including in the following circumstances:

• Breach of any provision of these Terms or a related supply agreement.
• Non-payment or persistent late payment of commercial invoices.
• Conduct that we determine, in good faith, poses a legal, reputational, or operational risk to Gestion Energy or third parties.
• A regulatory directive, court order, or law enforcement instruction requiring us to cease providing services to a specific party.

Upon termination of a commercial engagement, accrued payment obligations remain enforceable. Clauses of these Terms that by their nature survive termination — including intellectual property, limitation of liability, and governing law — shall continue in full force.

You may discontinue use of our website at any time. Terminating website use does not affect any outstanding commercial obligations under a separately agreed supply contract.

These Terms and any dispute or claim arising from or in connection with them — whether contractual, tortious, or otherwise — shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.

The parties submit to the exclusive jurisdiction of the courts of Lagos State, Nigeria, for the resolution of any dispute arising under these Terms, without prejudice to the right of either party to seek injunctive relief in any competent court.

Where a dispute arises from a commercial supply engagement, the parties agree first to attempt resolution through good-faith negotiation. If negotiation fails within thirty (30) days, either party may refer the dispute to the Lagos Court of Arbitration or such other arbitral body as may be agreed in writing.

We may revise these Terms from time to time. The most current version will always be published at gestionenergy.com/terms with the effective date noted at the top of the page.

For material changes — those that significantly alter your rights or obligations — we will provide reasonable advance notice on our website. For current commercial clients, we may also provide direct notification by email.

Your continued use of our website or services after revised Terms have been published constitutes your acceptance of those revisions. If you disagree with any change, you should discontinue use and notify us in writing so we may discuss the implications for any ongoing commercial engagement.
